1. Acceptance of Terms

By accessing, browsing, or using any products, protocols, interfaces, or services provided by Ayeteasea ("we," "us," "our," or the "Company"), including but not limited to Gyndore protocol, gynUSD staking portal, and any related decentralized finance ("DeFi") protocols or smart contracts deployed on Ethereum Virtual Machine ("EVM") compatible blockchains, you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms").

If you are using our services on behalf of an entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must immediately discontinue use of all our services.

2. Description of Services

Ayeteasea is a blockchain development firm headquartered in the United Arab Emirates that specializes in creating, deploying, and maintaining decentralized financial protocols and products. Our services include:

  • Protocol Development: Autonomous smart contracts enabling decentralized financial operations without intermediaries
  • Gyndore Protocol: A Collateralized Debt Position (CDP) stablecoin protocol utilizing Bitcoin collateral (specifically cbBTC) on Base and other EVM chains
  • gynUSD Interface: Simplified yield-generation interface for the Gyndore stablecoin
  • Open Source Contributions: Various blockchain infrastructure and tooling

Our protocols operate autonomously on-chain and are designed to be permissionless, transparent, and accessible globally, subject to applicable restrictions.

3. Eligibility and User Representations

By using our services, you represent and warrant that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction
  • You have the full legal capacity to enter into these Terms
  • You are not a resident of, located in, or accessing our services from any jurisdiction where such access would be prohibited by law
  • You are not subject to economic sanctions or listed on any prohibited persons list
  • You possess sufficient technical understanding of blockchain technology, cryptographic tokens, and DeFi protocols to evaluate the risks
  • You will not use our services in connection with any unlawful activity

4. User Responsibilities and Acknowledgments

4.1 Wallet and Key Management

You acknowledge and agree that:

  • You are solely responsible for maintaining the security of your private keys and wallet credentials
  • Lost private keys result in permanent loss of access to digital assets
  • We never have custody, possession, or control of your digital assets
  • All transactions executed through our protocols are irreversible

4.2 Transaction Responsibilities

  • You are responsible for reviewing and understanding all transaction parameters before execution
  • You must ensure sufficient balance for transactions including applicable gas fees
  • You understand that blockchain network congestion may affect transaction timing and costs
  • You accept responsibility for any mistaken transactions or incorrect addresses

4.3 Compliance Obligations

  • You shall comply with all applicable laws, regulations, and tax obligations in your jurisdiction
  • You are solely responsible for determining the tax implications of your DeFi activities
  • You will not use our services to facilitate money laundering, terrorist financing, or other illicit activities

5. Protocol Risks and Disclaimers

5.1 Technology Risks

Using DeFi protocols involves substantial risks including but not limited to:

  • Smart Contract Risk: Despite audits and testing, smart contracts may contain vulnerabilities or bugs
  • Oracle Risk: Price feed failures or manipulations could affect protocol operations
  • Composability Risk: Interactions with other protocols may introduce unexpected vulnerabilities
  • Upgrade Risk: Protocol improvements may introduce new risks or change expected behaviors

5.2 Financial Risks

  • Liquidation Risk: Collateralized positions may be liquidated if collateral values fall below required thresholds
  • Impermanent Loss: Providing liquidity may result in losses relative to holding assets
  • Market Volatility: Extreme price movements may result in significant losses
  • Stablecoin Depeg Risk: Stablecoins may lose their peg to intended values
  • Yield Variability: Returns are not guaranteed and may fluctuate significantly

5.3 Operational Risks

  • Blockchain Risks: Network congestion, forks, or attacks on underlying blockchains
  • Regulatory Risk: Changes in laws or regulations may affect protocol accessibility or operations
  • Interface Risk: Front-end interfaces may experience downtime or display incorrect information
  • Bridge Risk: Cross-chain operations involve additional technical and security considerations

6. No Investment Advice or Fiduciary Duty

Nothing contained in our protocols, interfaces, documentation, or communications constitutes investment, financial, legal, tax, or any other professional advice. We do not:

  • Provide personalized recommendations
  • Act as your broker, advisor, or fiduciary
  • Guarantee any returns or outcomes
  • Endorse any particular strategy or use case

You should conduct independent research and consult qualified professionals before making financial decisions.

7. Intellectual Property Rights

7.1 Open Source Licenses

Our smart contract code is generally released under open source licenses (as specified in relevant repositories). You agree to comply with all applicable license terms.

7.2 Proprietary Rights

Ayeteasea retains all rights to:

  • Trademarks, service marks, and brand identities
  • Website content, designs, and interfaces (where not open-sourced)
  • Proprietary algorithms or methodologies not included in open source releases

7.3 User Content

By submitting feedback, suggestions, or contributions, you grant us a perpetual, irrevocable, worldwide license to use such content for any purpose.

8. Privacy and Data Protection

8.1 On-Chain Data

All blockchain transactions are public and permanent. We cannot delete or modify on-chain data.

8.2 Off-Chain Data

We minimize data collection. Our website may collect:

  • Technical data (IP addresses, browser information) for security and optimization
  • Voluntary information you provide when contacting us
  • Analytics data to improve our services

9. Prohibited Activities

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights

10. Service Modifications and Interruptions

  • Modify, suspend, or discontinue any aspect of our services
  • Implement upgrades or changes to smart contracts (where technically possible)
  • Restrict access from certain jurisdictions for compliance reasons
  • Remove or modify interface features

While smart contracts operate autonomously, we do not guarantee continuous availability of interfaces or supporting infrastructure.

11. Third-Party Services and Content

Our protocols may interact with:

  • Third-party tokens and protocols
  • External price oracles and data feeds
  • Bridge protocols and cross-chain services
  • Wallet providers and blockchain explorers

We are not responsible for third-party services. Your interactions with them are governed by their respective terms.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE." WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE AND NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF INFORMATION
  • UNINTERRUPTED OR ERROR-FREE OPERATION

13. Limitation of Liability

13.1 Exclusion of Damages

IN NO EVENT SHALL AYETEASEA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR CONTRIBUTORS BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR FUNDS
  • BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITY
  • ANY DAMAGES EXCEEDING THE GREATER OF (A) $100 USD OR (B) AMOUNTS PAID BY YOU TO US IN THE PAST 12 MONTHS

13.2 Basis of Bargain

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THEY REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES.

14. Indemnification

You agree to defend, indemnify, and hold harmless Ayeteasea and its affiliates, officers, directors, employees, agents, and contributors from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Dubai International Financial Centre (DIFC) laws, without regard to conflict of law principles.

15.2 Arbitration Agreement

Any dispute arising from or relating to these Terms shall be resolved through binding arbitration under the DIFC-LCIA Arbitration Rules. The arbitration shall be:

  • Conducted in English
  • Held in Dubai, UAE
  • Decided by a single arbitrator mutually agreed upon

15.3 Class Action Waiver

You waive any right to participate in class actions or class arbitrations against Ayeteasea.

16. Modifications to Terms

We may modify these Terms at any time by posting revised terms on our website. Material changes will be notified through our interface or website. Your continued use after modifications constitutes acceptance. Smart contract functionality may persist regardless of Terms modifications.

17. Severability and Waiver

If any provision of these Terms is deemed unenforceable, the remaining provisions shall continue in effect. Our failure to enforce any provision shall not constitute a waiver of future enforcement.

18. Force Majeure

We shall not be liable for failures or delays in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, network failures, or blockchain network disruptions.

19. Entire Agreement

These Terms, together with our Privacy Policy and any protocol-specific documentation, constitute the entire agreement between you and Ayeteasea regarding our services and supersede all prior agreements and understandings.
